These Terms & Conditions govern your use of One Accounting AI (oneacc.ai), operated by imultichannel ltd. By creating an account or using our service, you agree to be bound by these terms.

1. Definitions

  • "We", "us", "our" — imultichannel ltd, the operator of One Accounting AI.
  • "Service" — The One Accounting AI platform, including all software, APIs, features, and related services available at oneacc.ai.
  • "You", "user", "subscriber" — The individual or legal entity accessing or using the Service.
  • "Account" — Your registered account on the Service.
  • "Subscription" — A paid or free-tier plan granting access to the Service.
  • "Content" — Any data, information, or material you upload, submit, or create through the Service.
  • "HMRC" — His Majesty's Revenue & Customs, the UK government department responsible for tax collection.

2. Acceptance of Terms

By registering for an Account, accessing, or using the Service, you confirm that:

  • You are at least 18 years of age.
  • You have the legal authority to enter into this agreement on behalf of yourself or the organisation you represent.
  • You have read, understood, and agree to these Terms & Conditions and our Privacy Policy.
  • All information you provide is accurate and complete.

If you do not agree to these terms, you must not use the Service.

3. The Service

3.1 Description

One Accounting AI provides cloud-based accounting, bookkeeping, invoicing, tax compliance, and financial management tools powered by artificial intelligence. The Service is designed for businesses, sole traders, and accounting professionals.

3.2 Making Tax Digital (MTD)

One Accounting AI is an HMRC-recognised software solution for Making Tax Digital. When you authorise us to submit data to HMRC on your behalf:

  • You remain legally responsible for the accuracy and completeness of all tax submissions.
  • We act as your agent for the sole purpose of transmitting data you have reviewed and authorised.
  • You must review all submissions before authorising them. We are not liable for errors arising from data you have provided.

3.3 Beta and Preview Features

Some features may be designated as "Beta" or "Preview". These are provided as-is without warranty and may be modified or discontinued at any time without notice.

4. Subscriptions and Payment

4.1 Plans

The Service is offered on a subscription basis. Pricing, features, and plan details are published at oneacc.ai/pricing and may be updated from time to time. Existing subscribers will receive 30 days' notice of material price changes.

4.2 Billing

  • Subscriptions are billed in advance on a monthly or annual basis, as selected at sign-up.
  • All prices are quoted exclusive of VAT unless otherwise stated. UK VAT will be applied where applicable.
  • Payment is processed securely by our payment processor. We do not store your full payment card details.
  • Failed payments may result in suspension of your Account after reasonable notice.

4.3 Free Trial

Where a free trial is offered, it is available once per individual or business entity. At the end of the trial, you will be required to select a paid plan to continue using the Service.

4.4 Cancellation and Refunds

  • You may cancel your subscription at any time via your Account settings. Cancellation takes effect at the end of the current billing period.
  • Monthly subscriptions: no refunds for the current period upon cancellation.
  • Annual subscriptions: a pro-rata refund may be issued for unused complete months, at our discretion.
  • Statutory cancellation rights: Consumers in the UK have a 14-day cooling-off right for digital services. By commencing use of the Service before this period expires, you acknowledge that you waive this right.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or HMRC rules.
  • Submit false, misleading, or fraudulent financial information to HMRC or any third party.
  • Engage in money laundering, tax evasion, or any other financial crime.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service.
  • Introduce malicious code, viruses, or perform unauthorised access attacks.
  • Resell or sublicence the Service without our prior written consent.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Use automated scripts or bots to access the Service in a manner that degrades its performance.

Violation of these terms may result in immediate suspension or termination of your Account and, where appropriate, referral to relevant authorities.

6. Your Data and Content

6.1 Ownership

You retain full ownership of all Content you upload to the Service. We do not claim any intellectual property rights over your data.

6.2 Licence to Us

By using the Service, you grant us a limited, non-exclusive, royalty-free licence to process, store, and transmit your Content solely for the purpose of providing the Service to you, including HMRC submissions you authorise.

6.3 Data Accuracy

You are responsible for the accuracy and legality of all data you input into the Service. We are not responsible for errors in tax submissions that result from inaccurate data provided by you.

7. Intellectual Property

The Service, including all software, algorithms, AI models, designs, trademarks, and documentation, is owned by imultichannel ltd or its licensors and is protected by UK and international intellectual property laws.

We grant you a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes during the term of your Subscription. This licence does not include any right to modify, copy, distribute, or create derivative works from the Service.

8. AI Features and Limitations

One Accounting AI uses artificial intelligence and machine learning to provide features such as automated transaction categorisation, anomaly detection, and financial insights. You acknowledge that:

  • AI-generated suggestions, categorisations, and insights are recommendations only and do not constitute professional accounting, tax, or financial advice.
  • You must review and approve all AI-generated outputs before relying on them for business decisions or tax submissions.
  • AI models may produce errors or unexpected results. We continuously work to improve accuracy but cannot guarantee 100% correctness.
  • Nothing in the Service constitutes advice from a qualified accountant or tax adviser. You should seek professional advice for complex tax matters.

9. Availability and Uptime

We aim to provide a reliable service and target 99.9% monthly uptime (excluding planned maintenance). However:

  • We do not guarantee uninterrupted or error-free access to the Service.
  • Planned maintenance will be notified in advance where possible.
  • We are not liable for outages caused by third-party services, including HMRC API availability.
  • We reserve the right to modify or discontinue features with reasonable notice.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Our total aggregate liability to you for any claims arising from or related to the Service shall not exceed the greater of: (a) the total fees paid by you in the 12 months preceding the claim, or (b) £100.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
  • We are not liable for any penalties, interest, or surcharges imposed by HMRC arising from inaccurate data you have provided or submissions you have authorised.
  • We are not liable for losses arising from unauthorised access to your Account where you have failed to maintain adequate security of your credentials.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless imultichannel ltd, its officers, directors, employees, and agents from and against any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your Content; or (d) your violation of any third-party rights or applicable law.

12. Termination

Either party may terminate these Terms at any time:

  • By you: By cancelling your Subscription and ceasing use of the Service.
  • By us: With 30 days' notice for any reason, or immediately if you breach these Terms, engage in fraudulent activity, or pose a security risk.

Upon termination, your access to the Service will cease. You may export your data for up to 30 days after termination. After that period, your data will be deleted in accordance with our Privacy Policy, subject to legal retention requirements.

13. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or via in-app notification at least 30 days before the changes take effect. Continued use of the Service after that date constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must cancel your Subscription before they take effect.

15. General

  • Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and imultichannel ltd regarding the Service.
  • Severability: If any provision is found to be unenforceable, the remaining provisions continue in full force.
  • Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right.
  • Assignment: We may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign your rights without our prior written consent.
  • Force majeure: We are not liable for failures or delays caused by circumstances beyond our reasonable control, including HMRC system outages, natural disasters, or government action.
